Membership Terms & Conditions

This document forms part of the legal framework of International Agency Group – IGA, and is read together with the Submission Terms, the Privacy Policy, and the General Terms.

1.Introduction, Scope, and Definitions

1.1This document governs everything relating to Membership with the Company: its tiers, benefits, fees, renewal, cancellation, suspension, and termination, the Grading Credits, and the Cashback Program and its points.

1.2The Customer’s subscription to any Membership, or its confirmation by any approved means, constitutes express acceptance of this document and of the General Terms.

1.3The definitions in Article 2 of the General Terms apply to this document. In addition:

1.3.1Membership Tier: one of the levels offered by the Company (Silver, Gold, Diamond), or any special tier such as the Cashback Program.

1.3.2Grading Credits: an internal balance granted to certain Membership Tiers for use in discounting part of the value of service Submissions in accordance with the rules of this document.

1.3.3Cashback Program: a special invitation-only Membership tier, granted free of charge by the Company, based on a reward-points system instead of the discounts of the other tiers.

1.3.4Reward Points: points earned within the Cashback Program and converted into an internal balance at a specified rate.

1.3.5Cashback: for the purposes of this document, a value added as an internal balance usable for services only, and not a cash amount withdrawable or subject to actual cash refund.

1.4Headings in this document are for convenience only and do not affect the interpretation of its provisions.

2.Relationship with Other Documents and Order of Precedence

2.1This document is read together with the Company’s other documents, and the Order of Precedence set out in Article 4 of the General Terms applies.

2.2This document governs everything relating to Membership, its benefits, and its fees, while the Submission Terms govern everything relating to Submissions, examination, Grading, custody, shipping, and liability, and the Privacy Policy prevails regarding personal data.

3.Nature of Membership

3.1Membership is an annual subscription linked to the person of the Customer, does not create a separate legal personality, and the party dealing with the Company remains a “Customer” as defined in the General Terms.

3.2Membership is personal and not transferable or assignable to a third party without the Company’s prior written consent.

3.3Membership in itself does not grant any right to a particular examination result or grade, and all services remain subject to the Submission Terms.

4.Membership Tiers and Benefits

4.1The Company offers the following Membership Tiers, with their benefits and fees determined in accordance with the policy declared on the Website at the time of subscription:

4.1.1Silver Membership: allows submitting Submissions, access to the Collectors Lounge, the Bulk submissions service, and a 10% discount on Company products. Without a discount on Add-On Services or grading services, and without custom offers or Grading Credits.

4.1.2Gold Membership: includes the Silver benefits, with a 10% discount on Company products, a 10% discount on Add-On Services, custom offers, and Grading Credits of EGP 4,000. Without a discount on grading services.

4.1.3Diamond Membership: includes the Gold benefits, with a 15% discount on Company products, a 20% discount on Add-On Services, a 10% discount on grading services, custom offers, and Grading Credits of EGP 8,000.

4.2Discounts are applied to the value of the service or product before Value Added Tax, and are not applied to shipping or insurance expenses or any expenses borne by the Customer in accordance with the Submission Terms.

4.3Membership discounts are not combined with Cashback Program benefits; a Cashback Program member is not entitled to the discounts of the other tiers in accordance with Article 7.

4.4Non-monetary benefits (such as the Collectors Lounge and custom offers) are subject to their availability and to the Company’s rules, and may be amended in accordance with Article 12.

5.Membership Fees and Value Added Tax

5.1Annual Membership fees in accordance with the declared policy: Silver EGP 999, Gold EGP 4,999, Diamond EGP 12,999, to which Value Added Tax is added at the rate prescribed by law.

5.2Membership fees are paid in cash or by offline bank transfers in coordination with the Authorized Dealer, in accordance with the payment provision in the Submission Terms.

5.3Membership and its benefits begin from the date of confirmation of payment of the fees.

5.4Any subsequent amendment to Membership fees does not apply to active Memberships except upon renewal.

6.Grading Credits

6.1Grading Credits are granted to the tiers specified in Article 4 (Gold and Diamond) as an internal balance for use in discounting part of the value of service Submissions.

6.2Validity: Grading Credits are valid for one year from the date of commencement of the Membership, expire upon its expiry, and are not carried over to a subsequent Membership period unless the Company decides otherwise in writing.

6.3No Refund or Transfer: Grading Credits are not subject to cash refund, are not transferable to a third party, and are not divisible into cash.

6.4Maximum Use Per Submission: Grading Credits may not be used to pay more than fifty percent (50%) of the value of a single Submission, and the remainder is paid by the approved means.

6.5Grading Credits are not used to pay Value Added Tax or shipping or insurance expenses, unless the Company decides otherwise.

6.6Grading Credits are deducted first from the oldest available balance, and their expiry does not entail any right to compensation or refund.

7.The Cashback Program and Reward Points

7.1The Cashback Program is a special invitation-only Membership tier, granted by the Company free of charge to certain important figures in the field at its absolute discretion, and is not for sale, purchase, request, or transfer.

7.2A Cashback Program member is not entitled to the discounts of the other tiers (Silver, Gold, or Diamond), and their benefit is limited to the reward-points system set out in this Article.

7.3Earning Points: the member earns one (1) point for each Egyptian Pound spent, calculated on the value of the service before Value Added Tax and shipping and insurance expenses.

7.4Converting Points: every five (5) points are converted into the value of one Egyptian Pound as an internal balance (cashback in the form of balance only), used to discount part of the value of services.

7.5Nature of Points and Balance: the points and the balance resulting from them are cashback in the form of an internal balance usable for services only, and not cash withdrawable, and are not subject to cash refund and not transferable to a third party.

7.6Validity: the points and the balance resulting from them expire upon the expiry of the Membership (one year), and their expiry does not entail any right to compensation or refund.

7.7Program Rules: the details of the Cashback Program are subject to rules declared or notified by the Company to the invited members, and the Company may amend or discontinue the program in accordance with Article 12, without prejudice to points actually earned before the amendment within the limits permitted by law.

7.8The Company may withdraw Cashback Program membership in the event of misuse or breach of the Company’s terms in accordance with Article 10.

8.Registration, Account Creation, and Accuracy of Data

8.1The Customer undertakes to provide accurate and complete data upon registration and to update it when it changes.

8.2The Customer bears responsibility for the accuracy of its data and any effect resulting from inaccurate or outdated data.

8.3The Company may refuse or cancel any registration that contains inaccurate data or data violating its terms.

9.Membership Period and Renewal

9.1The Membership period is one year from the date of its commencement in accordance with Article 5.3.

9.2Renewal is manual and not automatic; the Membership is not renewed and no fees are deducted automatically, and the Customer must take the renewal action and pay its fees.

9.3Non-renewal does not entail any financial obligation on the Customer, and the benefits, Grading Credits, and points expire upon the expiry of the period in accordance with Articles 6 and 7.

9.4The benefits of a renewed Membership are calculated in accordance with the tier and policy in force at the time of renewal.

10.Cancellation, Suspension, Termination, and No Refund

10.1No Refund: Membership fees are not refundable in whole or in part after the commencement of the Membership, in a manner not contravening the mandatory consumer protection rules.

10.2Customer Cancellation: the Customer may cancel its Membership at any time, and cancellation does not entail a refund of the fees or any balance or points, and the benefits expire immediately upon cancellation.

10.3Suspension or Termination by the Company: the Company may suspend or terminate the Membership in the event of the Customer’s material breach of any of the Company’s documents, misuse of the Membership, account, benefits, or points, provision of inaccurate data, or any unlawful use.

10.4Suspension or termination in accordance with Article 10.3 does not entail any right to a refund of the fees, balance, or points.

10.5This Article does not prejudice any mandatory right established for the consumer under the Consumer Protection Law.

11.Misuse of the Membership and Account

11.1The use of the Membership, account, benefits, Grading Credits, or points in a manner contrary to this document is prohibited, including unauthorized sharing of the account or circumventing the discount rules or limits.

11.2The Company has the right to take the appropriate actions upon misuse, including cancelling the balance or points, or suspending or terminating the Membership in accordance with Article 10, and claiming compensation for the actual damage from the violator.

12.Changes to Tiers, Benefits, and Pricing

12.1The Company may amend the Membership Tiers, their benefits, their fees, the Grading Credits rules, or the Cashback Program from time to time, and the amendment takes effect from the date of its publication on the Website.

12.2The amendment does not affect active Memberships except upon renewal, save for amendments required by law or those in the Customer’s interest.

12.3Amendment of non-monetary benefits linked to their availability does not prejudice the Customer’s substantive rights in the paid service.

13.Relationship Between Membership and Submission of Items

13.1A valid Membership is a condition for submitting Items in accordance with the Submission Terms.

13.2All Submissions and services remain subject to the Submission Terms, and Membership benefits are not considered an amendment to the limits of the Company’s liability set out therein.

14.Add-On Services and Discounts

14.1Tier discounts are applied to Add-On Services, grading services, and Company products in accordance with the matrix set out in Article 4, and before Value Added Tax.

14.2Membership discounts are not combined with any other discount or offer unless the Company decides otherwise expressly.

15.Account Security and Customer Responsibility

15.1The Customer bears responsibility for maintaining the confidentiality of its login data and any activity carried out through its account.

15.2The Customer undertakes to notify the Company immediately upon becoming aware of any unauthorized use of its account.

16.Personal Data

16.1Personal data associated with the Membership and account is processed in accordance with the Privacy Policy, which prevails in everything relating to personal data.

17.Limitation of Liability

17.1The Company’s liability in relation to Membership is limited to enabling the Customer to access the declared benefits of its tier, within the limits of their availability and in accordance with this document.

17.2The Company bears no indirect or consequential damages relating to Membership, and the limits of liability relating to Submissions and Items remain subject to the Submission Terms.

17.3No provision is interpreted in a manner that excludes the Company’s liability for fraud or gross negligence, or that contravenes the mandatory rights of the consumer.

18.Notices

18.1All notices are made by the approved electronic means set out in the General Terms: the official email, the contact form, and the support channels within the dashboard.

18.2The Customer undertakes to keep its contact data updated and to review it regularly.

19.Assignment, Non-Waiver, and Severability

19.1The Customer may not assign the Membership or its rights or obligations to a third party without the Company’s prior written consent.

19.2The Company’s failure to exercise any right, or its delay in doing so, does not constitute a waiver of it.

19.3If any provision is held void, the remaining provisions remain in force, and the void provision is replaced with the nearest valid provision achieving the same purpose within the limits of the law.

20.Amendments

20.1The Company may amend this document, and the amendment takes effect from the date of its publication on the Website, subject to Article 12 regarding active Memberships.

21.Governing Language

21.1This document is issued in both Arabic and English, and in the event of a difference in interpretation, the Arabic text prevails as the authoritative text, consistent with its subjection to Egyptian law and the jurisdiction of the courts of Cairo.

22.Entire Agreement

22.1This document, read together with the Company’s other documents, represents the entire agreement between the parties regarding Membership, and supersedes any prior understandings that conflict with it.

23.Governing Law and Jurisdiction

23.1Everything contained in this document is subject to Egyptian law, and the courts of Cairo have exclusive jurisdiction to hear any dispute, without prejudice to the Customer’s right as a consumer to resort to the authorities competent for consumer protection, in accordance with Articles 5 and 6 of the General Terms.
